It\u2019s still just an idea, but I\u2019m determined to make it a reality. As I navigate this process, I want to share my experience to help anyone else dreaming of starting a business here. Iceland is an amazing place to build something new, but like anywhere, it has its own rules and systems. Here\u2019s what I\u2019ve learned so far about starting a company in Iceland.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Choosing the Right Business Structure<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">The first step in starting a business in Iceland is deciding on the right structure. For 101Spa, I\u2019m leaning toward a Private Limited Company (Ehf.). It\u2019s a popular choice for small to medium-sized businesses because it limits personal liability. Other options include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Sole Proprietorship (Einstaklingsfyrirt\u00e6ki):<\/strong> Ideal if you\u2019re running a business alone with minimal risks.<\/li>\n\n\n\n<li><strong>Partnerships (Sameignarf\u00e9lag or Samlagsf\u00e9lag):<\/strong> For joint ventures.<\/li>\n\n\n\n<li><strong>Public Limited Company (Hf.):<\/strong> More suitable for larger businesses.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Since 101Spa will involve staff and various services, Ehf. makes the most sense for me.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Registering the Business<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Once I\u2019ve chosen the structure, the next step is registering with the <strong>Directorate of Internal Revenue (R\u00edkisskattstj\u00f3ri)<\/strong>. For this, I\u2019ll need:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>A unique company name\u2014\u201c101Spa\u201d is a great fit since it captures the essence of downtown Reykjavik.<\/li>\n\n\n\n<li>Articles of incorporation detailing the purpose and structure of my business.<\/li>\n\n\n\n<li>Details of directors and shareholders (right now, it\u2019s just me!).<\/li>\n\n\n\n<li>Proof of initial capital: ISK 500,000 for a Private Limited Company.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">There\u2019s also a small registration fee, but luckily, most of this can be handled online through the R\u00edkisskattstj\u00f3ri portal.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Opening a Business Bank Account<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Before finalizing registration, I\u2019ll need to open a business bank account. This step is crucial for depositing the initial capital and managing finances. I\u2019ve started exploring Icelandic banks to find one that fits my needs.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Obtaining Licenses and Permits<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">101Spa will offer wellness treatments, so I\u2019ll need to research the specific permits required. Depending on the services, I might need:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Health and safety permits for operating a spa.<\/li>\n\n\n\n<li>Special permits for any regulated treatments, like massage therapy or skin care.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">To make sure I\u2019m compliant, I plan to connect with the <strong>Icelandic Chamber of Commerce<\/strong> and local regulatory bodies.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Tax Registration<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">In Iceland, businesses must register for taxes. This includes:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Value-Added Tax (VAT):<\/strong> Required for businesses with an annual turnover exceeding ISK 2,000,000.<\/li>\n\n\n\n<li><strong>Corporate Tax:<\/strong> Currently 20% for Ehf. companies.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">I\u2019ll also need a tax ID and VAT number. Thankfully, these registrations are part of the company registration process, so it\u2019s streamlined.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Finding the Right Location<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">A huge part of 101Spa\u2019s success will depend on its location. I\u2019m looking for a spot in Reykjavik\u2019s downtown area. It\u2019s essential to check zoning laws to ensure the space can legally operate as a spa.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Hiring Employees<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Eventually, I\u2019ll need a team to bring 101Spa to life. Hiring in Iceland means adhering to labor laws, including:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Providing written contracts.<\/li>\n\n\n\n<li>Paying minimum wages and benefits.<\/li>\n\n\n\n<li>Contributing to the national pension system.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">I\u2019ll register my employees with the <strong>Social Insurance Administration (Tryggingastofnun)<\/strong> when the time comes.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Crafting a Brand<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Even before 101Spa officially launches, I\u2019m working on branding. Icelanders value authenticity and quality, so I want 101Spa to reflect those values. My goal is to create a cozy yet modern space where people can relax and recharge.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Navigating Challenges<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Starting a business isn\u2019t without its challenges. Understanding Icelandic regulations and the local market has been a learning curve. Starting a business in Iceland requires patience and research, but it\u2019s also incredibly rewarding to see your vision take shape.
